WakeMed and Atrium Health Merger Moves to State and Federal Review

Now that Wake County commissioners have signed off on the WakeMed-Atrium combination, here's what regulators will be looking at.

The county board's approval marks an early step in a long process. State and federal agencies still must review the proposed partnership before it can take effect. That review will focus on how the deal could shape competition, pricing, and access to care across the region.

North Carolina's certificate of public advantage law gives state officials a path to approve hospital combinations that might otherwise raise antitrust concerns. In exchange, the state imposes conditions meant to protect patients. Regulators will weigh whether the merger's promised benefits, such as expanded services and stronger finances for WakeMed, outweigh the risk of higher prices or fewer choices.

Federal antitrust enforcers may also examine the transaction. They typically look at market share, how many hospitals would fall under one owner, and whether insurers would lose leverage in negotiations.

Public input will matter too. Hearings and comment periods give residents, doctors, and employers a chance to raise questions about cost and quality.

If approved, the combined system would rank among the largest in the state. WakeMed would keep its name and local leadership under the plan, while Atrium would provide backing and resources. The timeline for a final decision remains uncertain, and either side could still walk away.
